Beatplan: Commercial Source Code License

Version 1.0

This license is an agreement between the seller of Beatplan ("Licensor") and the person or organisation that purchased a license ("Licensee"). By downloading, copying, installing or using the Software, Licensee accepts these terms.

"Software" means the source code, database schema, Edge Functions, documentation, assets and any updates provided under this license.

1. License tiers

The tier is shown on the Licensee's purchase receipt.

Standard (single organisation). A non-exclusive, perpetual, non-transferable license to use, modify and deploy the Software for the internal operations of one legal entity and its wholly owned subsidiaries, in one production deployment plus any number of non-production (development, staging, test) deployments.

Commercial. As Standard, plus the right to deploy the Software for one client organisation per license as part of paid services (for example, implementation or hosting for that client).

Agency / White-label. As Commercial, for an unlimited number of client organisations, including the right to rebrand the Software and provide it to those clients under the Licensee's or the client's own brand, as compiled applications or hosted services.

2. What Licensee may do

3. What Licensee may not do

4. Ownership

Licensor keeps all rights, title and intellectual property in the Software. Licensee owns its own data and its own modifications, subject to Licensor's rights in the underlying Software.

5. Updates and support

Updates and support are provided only as described on the product page at the time of purchase. Licensor is not obliged to provide maintenance, fixes or new features.

6. Termination

This license ends automatically if Licensee breaches it and does not cure the breach within 30 days of notice. Breach of the redistribution restriction or the territorial restriction ends the license immediately, with no cure period. On termination, Licensee must stop using the Software and delete all copies, including deployed applications built from it.

7. Disclaimer of warranty

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. Licensee is responsible for its own deployment, security configuration, backups, data-protection and privacy compliance (for example GDPR or CCPA), app-store compliance, and for reviewing the Software before production use.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA OR GOODWILL. LICENSOR'S TOTAL LIABILITY UNDER THIS LICENSE WILL NOT EXCEED THE AMOUNT LICENSEE PAID FOR THE LICENSE.

9. Export and sanctions

Licensee will comply with all applicable export-control and sanctions laws and will not use the Software in any embargoed country or for any prohibited party.

10. General

This license is the entire agreement about the Software and replaces any prior understanding. If a provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver. This license is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from it, except that Licensor may seek injunctive relief to protect its intellectual property in any court of competent jurisdiction.

Third-party open-source components included with or required by the Software (for example React Native, Expo and Supabase client libraries) are licensed under their own licenses, which this license does not change.
